What We Get:
- We’ll need you to provide the information that needs to be displayed on the site, including hours, contact info, web address, and a description of your business.
Your payment constitutes agreement to these terms and to the Terms of Service.
What’s In The Neighborhood Subscription AGREEMENT (LICENSE)
The Undersigned (“Client”) is subscribing to a Case42 Creative Media, LLC, (“Case42”) Service. The following sets forth the agreement between these two parties and binds them both.
Scope of Subscription:
Case42 will do the following for Client (the “Scope of Work”):
Case42 will create a single Webpage for Client at the Neighborhood Website mentioned above. Client will be given training online via text and video for managing the page and other available services, as follows:
- “Deals” Blog
- “News” Blog
- Community Calendar
If Client has opted for video insertion into the Page, Case42 will also initially embed it into the Page.
Case42 may decline, or charge additionally for, work that Case42 reasonably deems to be beyond this scope, with Client’s prior approval.
The final deadline for completing the Webpage content is 1-week following accepting this agreement, finalizing the Subscription via Paypal, and Case42’s receipt of Client text and image content. Content of the Webpage is solely the responsibility of the Client. Final deadline for video production is 2 weeks following the last shooting date at the Client’s location. If Client has not supplied final text and image content to Case42 within 2 weeks of the acceptance of this Agreement, Client agrees that all deadlines are subject to Case42 availability.
Ownership of the Work
Case42 hereby grants Client a license to use the work produced under this agreement only as follows:
A. The Video
Client is granted unlimited use, (but not transfer) rights to the video upon completion, for the duration of the active Subscription. Upon payment for Video and 1 year of Subscription service, full, unlimited copyright to video produced under this agreement is transferred. If Subscription is terminated before the conclusion of or payment for 12 months, copyright, transfer and usage rights are revoked.
B. The Webpage
This license covers full-usage of the Neighborhood site as defined under “Scope of Subscription.” It is non-exclusive. This license is royalty-free. Its duration is the length of the Subscription service, and remains in effect as long as the Subscription payments are made.
The granting of any license is conditioned on Case42 being paid the full amount of this agreement. Case42 reserves all rights in the Webpage under this agreement that are not expressly granted to Client.
Client will pay Case42 a flat fee determined by the length of subscription desired, which includes up to 2 rounds of revisions and ½ hour of dedicated consultation, provided that such revisions do not exceed the Scope of Work above.
$0 is due at the signing of this agreement, unless Video Production is requested, in which case $200 is due at signing. (Choose Payment Option below)
Case42 will be solely responsible for Case42’s expenses in connection with this agreement.
Any information supplied by one party to the other marked as “Confidential” must be used only for the purposes of this agreement and must not be disclosed to other parties without the discloser’s written consent. This does not apply to information that is publicly available or that the recipient already properly knew, developed or received independently. When the agreement terminates, Case42 must return to Client any materials containing confidential information. Confidentiality obligations survive termination of this agreement.
Independent Contractor Relationship
Case42 is an independent contractor, not an employee or partner of Client. Case42 is solely responsible for all taxes, withholdings, insurance, and any other obligations that may apply to an independent contractor.
CASE42 WARRANTS THAT NO OBLIGATION TO A THIRD PARTY PROHIBITS CASE42 FROM ENTERING INTO THIS AGREEMENT, AND THAT TO CASE42’S KNOWLEDGE, WORK PRODUCED UNDER THIS AGREEMENT WILL NOT VIOLATE THE INTELLECTUAL PROPERTY RIGHTS OF ANY THIRD PARTY. CASE42 DOES NOT WARRANT THE UNINTERRUPTED OPERATION OF THE WEBSITE, NOR OF THE WORLD WIDE WEB OR ANYTHING OUTSIDE CASE42’S CONTROL, INCLUDING, BUT NOT LIMITED TO CLIENTS ABILITY TO CONNECT TO THE WEB OR OPERATE THEIR WEBPAGE.
CASE42 DOES WARRANT THAT THE WEBPAGE WILL ADHERE TO CURRENT STANDARDS OF THE WORLD WIDE WEB CONSORTIUM, (W3C).
Limitation of Liability
UNLESS A RESULT OF GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, THE LIABILITY OF EITHER PARTY TO THE OTHER FOR ANY TYPE OF DAMAGES IS LIMITED TO THE AMOUNT OF Case42’S TOTAL FEES UNDER THIS AGREEMENT. IN NO INSTANCE WILL CASE42 BE LIABLE FOR ANY DAMAGES, LACK OF SALES, OR PERCEIVED MONETARY DAMAGES ARISING FROM CLIENT’S DISSATISFACTION.
If Client desires to Terminate the Subscription Agreement, simply follow the following steps:
- Log in to your PayPal account.
- Click Profile near the top of the page.
- Click My money.
- Click Update in the My preapproved payments section.
- Click Cancel, Cancel automatic billing, or Cancel subscription and follow the instructions.
Upon termination, any license Client has to the Webpage is immediately revoked, with the exception of the Video Produced, if that option is chosen.
This agreement is between Client and Case42. Case42 may, at it’s sole discretion in order to provide prompt and high-quality results, delegate various tasks to subcontractors without the written consent of the Client.
This is the parties’ entire agreement on this matter, superseding all previous negotiations, agreements or verbal statements by either party. It can only be changed by mutual written consent.
The laws of the state of Washington govern this agreement and any disputes arising from it must be handled exclusively in courts that state. The prevailing party in any dispute will be entitled to recover reasonable costs and attorneys’ fees.
Accepting this agreement in the electronic form and choosing a Payment Option below will have the same effect as signing an original document, and the agreement is legal and binding.
We do not want to bind you to an agreement that’s not working for you.
